Terms of Service

1. Acceptance of Terms

By installing, accessing, and using ShopPin ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use ShopPin.

These terms apply to all users of the ShopPin application for Shopify merchants and are binding and enforceable.

2. Service Description

ShopPin is a Shopify application that enables merchants to display store locations on an interactive map. The Service includes:

• Store location management and mapping
• Customer-facing store locator widget
• Analytics and search tracking
• Customization and styling options
• Integration with Google Maps or OpenStreetMap

ShopPin is provided "as is" and subject to these terms and conditions.

3. Eligibility and User Responsibilities

You represent and warrant that:

• You are an authorized representative of a Shopify merchant
• You have the legal authority to enter into this agreement
• You are at least 18 years old
• All information you provide is accurate and truthful
• You are responsible for maintaining the confidentiality of your account
• You accept responsibility for all activities under your account

4. Acceptable Use

You agree not to use ShopPin for any unlawful purposes or in any way that violates these terms. Specifically, you will not:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Harass, threaten, or defame any person
• Upload malware, viruses, or malicious code
• Engage in phishing, fraud, or spam
• Overload or disable the Service
• Attempt to gain unauthorized access to the Service
• Display false or misleading location information

Violation of these terms may result in immediate termination of your account without refund.

5. Pricing and Billing

ShopPin is offered through the Shopify App Store with both free and premium tiers. Billing, payments, and subscription management are handled entirely through Shopify's billing system.

• Free plans are available with standard limitations
• Premium plans are billed monthly through Shopify
• All billing inquiries should be directed to your Shopify dashboard
• ShopPin reserves the right to change pricing with 30 days' notice

By upgrading to a premium plan, you authorize Shopify to charge the applicable fees to your account on a recurring basis.

6. Data Ownership and Rights

Your Location Data: You retain full ownership of all location data (addresses, phone numbers, hours) that you provide. ShopPin does not claim ownership of your data.

Analytics Data: Aggregated and anonymized analytics are our intellectual property, but individual merchants may access their own analytics.

Service Content: ShopPin retains all rights to the application, code, features, and underlying technology.

License Grant: We grant you a limited, non-exclusive, non-transferable license to use ShopPin solely for your store's purposes during the subscription period.

7. Service Availability and Modifications

Best-Effort Availability: ShopPin is provided on a "best-effort" basis. While we strive for high availability, we do not guarantee uninterrupted service, and maintenance or updates may cause temporary downtime.

No SLA: ShopPin makes no service level agreement (SLA) guarantees. For mission-critical store functionality, redundancy is recommended.

Right to Modify: We reserve the right to:

• Modify or discontinue features with reasonable notice
• Update the Service for security or functionality
• Change pricing and plans (with 30 days' notice)

8. Warranties and Disclaimers

ShopPin does not warrant that:

• The Service will meet your requirements
• The Service will be error-free or uninterrupted
• Geocoding or map data will be accurate
• The Service will be compatible with third-party services

You use ShopPin at your own risk.

9. Limitation of Liability

• Indirect, incidental, special, or consequential damages
• Lost profits, revenue, or data
• Business interruption or loss of use
• Damages arising from third-party services (Google Maps, Shopify, etc.)

In no event shall our total liability exceed the fees you have paid for ShopPin in the preceding 12 months (or $100, whichever is less).

10. Indemnification

You agree to indemnify, defend, and hold harmless ShopPin and its officers, directors, employees, and agents from any claims, damages, or costs arising from:

• Your use of the Service
• Your violation of these terms
• Your location data or content
• Your violation of third-party rights

11. Third-Party Services

ShopPin integrates with third-party services:

• Shopify: ShopPin runs as a Shopify app and is subject to Shopify's terms
• Google Maps: If you use Google Maps, Google's terms and privacy policy apply
• OpenStreetMap: If you use OSM, their terms apply

We are not responsible for third-party service failures, data practices, or terms. Review their policies directly.

12. Data Handling and Privacy

Your use of ShopPin is governed by our Privacy Policy. By using ShopPin, you consent to the data practices described in the Privacy Policy, including:

• Collection of location data you provide
• Collection of anonymized analytics from storefront visitors
• Data retention and deletion upon uninstall

You are responsible for compliance with data protection laws (GDPR, CCPA, etc.) regarding your location data and customer data.

13. Termination

Merchant Termination: You may uninstall ShopPin at any time. All your data will be deleted within 48 hours.

ShopPin Termination: We may terminate or suspend your account if you:

• Violate these terms or applicable laws
• Engage in fraudulent or malicious activity
• Fail to pay fees (for premium plans)
• Do not respond to abuse reports

Termination will occur with notice unless the violation is severe.

Upon Termination: All your data will be permanently deleted within 48 hours, consistent with our Privacy Policy.

14. Intellectual Property

ShopPin and all its content, features, and functionality (including but not limited to software, code, design, text, graphics) are owned by ShopPin, its licensors, or other providers and are protected by international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, or transmit the Service without our written permission.

15. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. Any disputes arising under these terms shall be resolved in the courts of the United States.

16. Changes to Terms

We may modify these Terms of Service at any time. We will notify you of material changes by posting the updated terms on this page. Your continued use of ShopPin after such modifications constitutes your acceptance of the updated terms.

17. Severability

If any provision of these terms is found to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, or if not possible, shall be severed, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and ShopPin regarding your use of the Service and supersede all prior and contemporaneous agreements, understandings, and negotiations.
